Hiring and Granting Equity to Employees and Contractors

This course provides an overview of the process of hiring and granting equity to employees and contractors in early-stage start-ups. 

The course will cover a range of topics, including classification, standard hiring documents, such as offer letters, assignment of inventions, and non-competes, the types of equity compensation available to start-up employees, such as stock options, restricted stock units, and phantom equity, as well as the legal and tax implications of granting equity to employees.

Participants will learn how to design basic equity compensation plans, prepare grant documents, and structure vesting schedules for our hypothetical client.

  • Describe the legal considerations involved in hiring employees, including employment contracts and intellectual property ownership.
  • Identify the key components of an employee offer letter.

Participants will be asked to prepare option grant paperwork for a new employee of a hypothetical client and to update the cap table to reflect the grant.
